Our Business

How we invest and earn

We deploy our own capital as a principal across our four focus verticals, and we earn additional economics through the structures we build around those investments — SPV sponsorship, co-GP arrangements, and selective capital markets advisory.

01
Principal Balance Sheet Investing

Hayes Capital seeks to make anchor investments through our family office–backed capital base. We view principal investing as a core part of our platform and approach opportunities with the mindset of a long-term capital partner.

02
SPV Sponsorship & Economics

For select opportunities where Hayes Capital has strong conviction, differentiated access, or a strategic role in the transaction, we may sponsor bespoke single-deal SPVs for aligned co-investors. Each vehicle is structured around the specific opportunity, with terms designed to fit the transaction rather than force it into a standard fund model.

03
Co-GP Structures

Hayes Capital may serve as a co-GP partner alongside select managers with differentiated deal access and strong operator capabilities. Where appropriate, we also invest principal capital alongside the opportunity, aligning our interests with the manager and participating investors.

Capital Markets Brokerage

Through FINRA/SIPC registered broker-dealer partners, we architect and place multi-layered capital solutions when it serves a transaction. This is a supporting capability — not our primary business. We are selective, and we generally co-invest in deals where we provide this service.

Why Hayes Capital

What differentiates us

Hayes Capital operates with the flexibility of a principal investor and the structuring capability of a merchant bank. We selectively invest, partner with aligned capital providers, and design transaction structures around the needs of each opportunity. Our model is built to create alignment between capital, strategy, and execution.

I
Speed

Our family office–backed capital base gives us flexibility in how we evaluate and support transactions. We underwrite efficiently, communicate clearly, and move decisively when conviction, alignment, and execution visibility are present.

II
Flexibility

Hayes Capital brings a flexible, transaction-driven process to each opportunity. While our principal investments are focused on equity, we can help structure and coordinate a range of capital solutions — including equity, preferred equity, mezzanine, and credit — through aligned partners where appropriate.

III
Size

From an anchor check to $250M+ in coordinated investment capacity, we bring real capital to the table. Our family office network is a genuine funding source — not a contact list we cold-call after signing an NDA.
